Financing – Debt
Reinhart's business law group includes attorneys with extensive experience in the capitalization of corporate and other limited liability entities. Our practice includes the representation of banks and other senior secured lenders, institutional mezzanine investors and subordinated lenders, buy-out and venture capital funds and private angel investors. This experience allows us to be uniquely effective representing our corporate clients in corporate financing transactions of all kinds.
We have extensive experience in structuring and documenting debt, equity and governance instruments for corporations, limited partnerships and limited liability companies. We are adept at identifying and resolving complicated tax issues arising in the use of pass through entities such as limited liability companies, S Corporations and limited partnerships.
The firm has a well-deserved reputation in all aspects secured and unsecured loan structuring, negotiation and documentation, tax-exempt financing, real estate and construction lending, and mortgage securitization. Our lawyers include several who are regularly responsible for the largest and most sophisticated credit transactions, as well as others who are highly capable younger attorneys who can represent borrowers in less complicated transactions, on a highly cost-effective basis.

Venture Capital
We facilitate the development of business opportunities together with the need to identify and pursue financing. The firm has worked extensively with alternative funding resources, including venture capital and angel networks. Current efforts are underway to develop more funding resources to meet the needs of these targeted firms. The firm also seeks to identify and target entrepreneurial opportunities for individuals who have been traditionally underrepresented in opportunities created by corporate mergers and spin-offs.
Reinhart's corporate finance group also represents private equity fund sponsors in connection with the formation of investment partnerships and other pooled investment vehicles and in the ongoing tax and governance issues that arise in connection with the management of these funds.
